aggregate time and count values associated

Hi Every one and thanks in advance for any help you can give
Per the attached file or sample data
I would like to group column C (time) in 5 min time intervals and count the amount of values in column D(code) for each 5 min time period
So from 0:38 to 3:04 falls within the first 5 min period and has a count of 7 ( 100 value ) and so on
