NOW I NEED E3 TO RETURN "NO" IF D3="OUT" AND A3 IS A MATCH IN G3:G13 & STILL BE ABLE TO RETURN "YES" IF D3="OUT"

you were given an answer by Trevor in post # 3, have you tried it? It looked to me like it worked in your posted workbook.
