Why would you use an IF function (especially without a true/false argument). The test is to see if COUNTIF=0, so just use that?

That will return either TRUE or FALSE.
Thanks Paul. This apparently won't work since I can't use references to other workbooks for conditional formatting criteria.
I don't know what to do now. I have a unique situation which is beyond my knowledge. (see my x-post)
I have overcome this by creating a column on my worksheet that references the second workbook and returns a TRUE FALSE value. The conditional formatting rule refers to that column in the worksheet rather than the data in the second workbook.
Works great, however there is a hiccup in it's accuracy when scrolled.
