You can hide the formulae (Format | Format cells | Protection tab | check Hidden. You would need to protect the sheet(s) for this to be effective.
And, yes, you can use the company logo as a background. However, it will be tiled to fill the whole of the sheet ... which may or may not be what you envisage. How many tiles will depend on the size of of the logo. However, the background will not print ... again, this may or may not be what you want.
If you want it printing, you could insert it in a header or footer.

You could also insert the logo into a specific cell or cells.(insert picture from file)

substitute commas with semi-colons if your region settings requires

Tools->Options->View - un-check Gridlines
In 2007, click the Office Button then Excel Options at the bottom, Advanced. Then scroll down to find the View gridlines option
