Combining two conditions

Does anyone have a suggestion on how to combine the following two conditions:

if(Z49=true) and countif(B3:B40,V3)

My goal is count the number of cells in the range B3:B40 that match cell V3, when cell Z49 is true. I realize that using if or countif may not be the best way to approach this. I am open to any thoughts on a better way to acheive this.
