Sumproduct with count days in range

Hi ,

Newbie and stuck .. Please help

I have a date range which I have to check if it is within another date range and if it is count the number of days in the range that fall within that date range ...

Date range 1
21/08/10 to 21/10/10

If this date range 1 above falls within date range 2
01/03/10 to 31/10/10

Count how many days in date range 1 fall within date range 2 ...

This is part one I have a date range 3 also but this is confusing enough for me for now ..

Can anyone help me ?
