Conditional formatting of blank cells and date cells

This should be easy, but i just cant get it, Grrrr.

I have attached the sample. I need the cells without the employee or without a boss to highlight a color and i also need the date of certification to highlight if it is more than one year old.

    Thanks.

That's great, i knew there was something small. Can i ask why you need just one (the top left) cell reference in the formula? (I was putting the entire data set in the formula)

    Thanks.

As far as I know the reference to that cell is a relative reference, so it changes when you apply it to other cells. Much like when you fill down a formula. If it was an absolute reference (with $ signs) it wouldn't change.
