Count colour of cells and text

Hey!

Amature here, doing my best at trying to count coloured cells, and coloured cells with text, i have managed to count cells with background colour but am trying to figure it out so it counts the cells with a sepcific colour, but will only count them if it has some form of text within the cell.

Please explain what does what

Thankyou for your input, I have already used this to get to where I am, I just need to only count what is coloured yellow with text in the cell
