decoding formula assistance

Can somebody break down the below formula in layman's terms please? I need to provide instructions on how to build this, but I don't understand it.

It would help considerably if there was a file attached so we at least had some breadcrumbs to follow why you're even using it.

The references don't mean much otherwise.

That said, it's just going to take a highlighting the nested expressions and hitting F9 to see what it's doing.
