You can use conditional formatting with a rule based on formula. for instance (I set the formatting only for F34:F35):

that's nearly what I wanted but not quite ... let try to explain..
Column E required date to highlight if, overdue and column F is outstanding, ie more that 1....but then not to highlight the date or the outstanding if nothing is outstanding ..ie 0
Just apply such forrmula based conditional formatting to desired cells (but not by copying formatting, you have to define it again.
so this time I selected E34:E35 and used to create rule exactly the same formula as above.
If one needs to format several cells in one row the formula shall have mixed addressing, like:

ok ... I think ive sorted that bit out,
but can I lock or hide the po template, so nobody else can see it ? and make changes to it ..
if I protect it, or hide the template then try to create a new PO it come up with error ...

That is a question far from "Conditional formatting for dates" but:
* stop sheet protection
* go to the formatting of the cells you want be accessible/editable for a user
* uncheck "blocked"
* apply sheet protection back - all but unblocked cells will be protected, and unblocked will be user editable.
