certificates expiring soon - warning formula (not conditional formatting)

Hi guys,

I have a list of dates where i have the formula to count how many are within 40 days (or passed) from today.

For instance - i use this formula for the below: =countif(B:B,"<="&today()+40)

certifcates	expiry dates
cert1	01-12-2014
cer2	03-01-2015
cert3	30-02-2015

However, i would like to add another column so that the user can select if it has been renewed. This is shown below

certifcates	expiry dates	auto-renewal?
cert1	01-12-2014	No
cer2	03-01-2015	No
cert3	30-02-2015	Yes

Is there a way to amend the formula =countif(B:B,"<="&today()+40) (or have a new formula) to not include those that have 'Yes' listed in column C within their row?

Any help is greatly appreciated!
