Excel 2007 : Compare Two Workbooks and list the differences in new excel workbook

Need to compare two workbooks(Book1 with Book2) and list the differences(cell info is enough) in new excel. please do needful.

what do you mean by difference - is it just mathematical? eg

=Sheet2!A1-Sheet3!A1

or other types of difference (formatting, text etc)

Just this comparison is enough.
=Book1!Sheet1!A1=Book2!Sheet2!A1.
