    It would be

    OR("Y","YES")

    I believe.

    .Range("I2").Formula = "=COUNTIF(RC[-2]:R[" & lRow - 2 & "]C[-2],OR("Y" , "Yes")"
    You should hit F5, because chances are I've edited this post at least 5 times.
