Not sure what SHL and SDC stand for. Are they names referring to some cell? They must represent some value in order for the formula to work.
Also be aware that when using relative references in a cf-formula the cell active when you create the cf will determine the offset.
So if you would enter the formula like above while the active cell is on row 10 then this formula will always refer to the cell one row below the cell that's containing he cf.
Same goes for columns.

SHL and SDC are string values, essentially what I want to accomplish is:
If K11 = 20101 and the value in M11 is <> SHL OR if K11 = 20104 and the value in M11 <> SDC then highlight the cell red
will OR(AND(K11=20101;M11<>SHL);K11=20104;M11<>SDC) do the trick? I've applied it, tested it and the cells aren't turning red (and I do have red selected for formatting).

Did the CF in the attachment work for you; other than for the fact that I randomly chose green...
