By the looks of the image that block is not the same colour and the one used as transparent. If you remove the Contrast it is more a light orange than white.
You would need to correct the original image so it had the same colour as that chosen for transparency
As the original image is from others and hence cannot be changed.
If the % of Brightness or Contrast is adjusted (only 1%) manually, the
white rectangle will be transparent and it is what I want.

As you know that the original image has light orange block,
how to revise the VBA so that the light orange do not turn white.
(i.e. light orange and wording can shown at the same time in excel.)
Just set the transparency.

Just remove the other lines you have. Run this on the reset image and you will get transparent with orange block

Your VBA can show orange box but cannot show wording under the box.
I mean how to show wording with orange box.
not possible with the way you have things currently. You can not have a solid colour AND make it transparent.
You would need to place something, textbox/shape, over the image that linked to the cell below.
